I hereby apply to become an Independent Distributor of METTA CORPORATION products and services.

As an Independent Distributor, I declare that:

1. I have carefully reviewed the Metta Corporation Product and Marketing Plan and acknowledge that the terms it contains are incorporated in and form part of this Distributor Registration & Agreement, herein together referred to as the "Agreement".

2. I understand and agree that the terms of the Agreement may be amended from time to time by Metta Corporation at its sole discretion and such amendments shall be binding upon me upon notification of the same through any of Metta Corporation’s official communication channels including, without limiting the generality of the foregoing, Voice Mail announcements or Independent Distributor mailings. In the event that I do not agree with any such amendment to this Agreement, I shall have the right to cancel my Independent Distributorship in the manner provided at clause 23 hereunder.

3. I am of full legal age in the country/state/province in which I enter this Agreement.

4. I shall become a Metta Corporation Independent Distributor (herein referred to as "Independent Distributor" only upon the acceptance of this Distributor Registration and Agreement by Metta Corporation. As an Independent Distributor I shall have the right to sell Metta Corporation products and services in accordance with the Agreement.

5. As an Independent Distributor, I am responsible for my own business and that I have complete freedom in determining the number of hours which I will devote to my business and that I will have the discretion of scheduling such hours.

6. As an Independent Distributor, I shall:

(a) abide by any and all federal, state/provincial, county and local laws, rules and regulations pertaining to this Agreement and/or the acquisition, receipt, storage, selling or advertising of Metta Corporation products and services.

(b) at my own expense, make, execute or file all such reports and obtain such licenses as required by law or public authority with respect to this Agreement and/or with respect to the receipt, storage, selling, distribution or advertising of Metta Corporation products and services.

(c) be solely responsible for the declaration, collection and for payment of all applicable sales, income or other taxes related to my activities as an Independent Distributor.

7. As an Independent Distributor, I agree and accept the obligation to provide a bona fide selling, distribution and supervisory function, supplying and servicing customers and personally-sponsored Independent Distributors who I introduce to the products, services or to the Marketing Plan.

8. I agree to comply with the Metta Corporation policy which prohibits the purchase of products or services in unreasonable amounts solely for the purpose of qualifying for advancement.

9. I agree to purchase product(s) from the appropriate source in order not to distort the Metta Corporation Marketing Plan.

10. I agree to limit my use of promotional material to that which is made available or approved by Metta Corporation for use by its Independent Distributors for such purpose.

11. I shall not make use, in whole or in part, of any trademark, trade name, or copy-righted material used by Metta Corporation or imitation thereof other than authorized in writing by Metta Corporation.

12. I agree and accept to return all product(s), document(s) and/or other material under recall by Metta Corporation when requested to do so.

13. All purchases are governed by the Retail Rule as specified in Metta Corporation.

14. I agree that I cannot at any one time own or have interest in more than one Independent Distributorship.

15. I release and hold Metta Corporation harmless from and against all liability whatsoever which may result from any of my actions or omissions as an Independent Distributor.

16. I agree that Metta Corporation reimburse itself out of any amounts due to me including, without limitation, accrued royalties and commissions, if any, all sums for which I may be accountable to Metta Corporation under this Agreement or otherwise.

17. I agree to all Royalty / Commission Overrides and bonuses due, if any, will be paid to me except if there is a court order or a governmental request retaining or prohibiting such payment(s).

18. I agree that I cannot sell, assign or transfer this Agreement or any part thereof to anyone except as provided in the Agreement but that Metta Corporation may do so.

19. I understand and agree that as an Independent Distributor, I will not be treated as an employee for any federal, state or provincial purposes, including tax purposes.

20. This Agreement is not intended to create a relationship of agency, franchiser-franchisee, joint venture or partnership between myself, the sponsor and/or Metta Corporation and shall not be construed as such.

21. This Agreement does not constitute a grant of a franchise or territory and that no fees have been paid or will be charged for the right to distribute Metta Corporation products and services pursuant to this Agreement.

22. Once approved by Metta Corporation, this Agreement shall not have to be renewed.

23. I am entitled to cancel this Agreement at any time and for any reason upon notification in writing to Metta Corporation of my election to cancel.

24. I understand and agree that my failure to abide by the terms of the Agreement may result in the immediate termination of the Agreement by Metta Corporation.

25. This Agreement constitutes the entire Agreement between myself and Metta Corporation, and that no other promises, representations, guarantees or agreements of any kind shall be valid unless agreed to in writing by both parties.

26. This Agreement shall be governed by the laws of the State of Nevada, USA and that all claims, disputes and other matters between parties to this Agreement shall be brought in the appropriate court in Las Vegas, Nevada.

27. The validity or enforceability of any clause, term or provision of this Agreement shall not affect the validity or enforceability of any other clause, term or provision of this Agreement.

28. This Agreement is not valid until it is accepted by a duly authorized representative of Metta Corporation.

30. Independent Distributors are not permitted to make false or misleading income or potential income representations, nor make income guarantees of any kind or display bonus checks or copies of bonus checks.

31. I have requested this Agreement in the English language.

I hereby declare that I have read the terms of this Agreement form and that I fully understand and agree to abide by all said terms. Moreover, I am entitled to cancel my participation in the marketing plan at any time and for any reason, upon receipt of my written notice by Metta Corporation.
